Terms of Service

Last Updated: June 5, 2026. Please read these Terms of Service carefully before utilizing the Foxcolab platform, microservices, and client applications.

1. Acceptance of Terms

By creating an account, establishing a workspace, or using any software product of Foxcolab Technologies (collectively, "Foxcolab", "Workspace", "Foxcolab Mail", "Foxcolab Notes", "Foxcolab Drive", "Foxcolab Calendar", "Foxcolab Docs", "Foxcolab Forms", "Foxcolab Meet", "Foxcolab Messenger", the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you represent an organization, company, or entity, you represent and warrant that you possess the authority to bind that entity to these Terms, and the references to "you" or "your" shall refer directly to that organization.

We reserve the right, at our sole discretion, to modify, update, or replace any portion of these Terms. If a revision is material, we will provide at least 30 days' notice (via email or our dashboard) prior to any new terms taking effect. Continued use of the Service after changes constitute your acceptance of the updated Terms.

2. Key Responsibility & Data Loss

CRITICAL E2EE LEGAL NOTICE:

With the exception of Foxcolab Workspace, Foxcolab Technologies uses client-side End-to-End Encryption (E2EE) for all its services (including Mail, Notes, Drive, Calendar, Docs, Forms, and Meet/Messenger). Plaintext keys for E2EE services are never shared with or saved on Foxcolab servers. Because of this zero-knowledge model, **Foxcolab Technologies holds no technological ability to decrypt your encrypted files, reset your E2EE passwords, or recover your local cryptographic keys.**

If you forget your master password and lose your local Recovery Key, your encrypted payloads (emails, notes, database files, and canvas sheets) **will become permanently and mathematically unrecoverable**. Foxcolab Workspace communications, which are not E2EE, are secured using standard transit and at-rest encryption to facilitate team search, bots, and integrations. You agree that Foxcolab Technologies bears zero responsibility, liability, or accountability for data loss resulting from forgotten E2EE credentials or lost keys.

You are solely responsible for securing your login credentials, master key, recovery blobs, and keeping active backups of your passwords in a secure password manager. Under no circumstances will Foxcolab Technologies be held liable for any loss of access, data deletion, or mathematical lockout of your accounts due to lost keys.

3. Billing, Plans & Quotas

Certain services within the Foxcolab ecosystem require payment and are subject to the following terms:

  • Subscription Fees: Paid subscriptions are billed on a recurring monthly or annual basis. All transactions are securely processed via authorized merchant payment gateways.
  • Automatic Renewal: Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew and authorize the billing of the specified fees using your saved payment method.
  • Usage Limits & Quotas: Subscription plans enforce strict quota allocations (e.g., maximum team members per workspace, storage volumes, and daily metrics). Quota increments and status checks are handled automatically by our centralized billing and usage services.
  • Exceeding Quotas: If your workspace exceeds its plan limits, we reserve the right to temporarily restrict functionality (such as blocking new file uploads, limiting active channels, or declining inbound messages) until the plan is upgraded or usage is consolidated.
  • Refunds: Payments are non-refundable except as explicitly required by law or outlined in specific service-level agreements. If you request a tier downgrade, credit balances will be applied to subsequent billing statements at our discretion.

4. Acceptable Use Policy

You agree not to misuse Foxcolab services or assist others in doing so. Prohibited activities include:

  • Attempting to probe, scan, bypass, or test the vulnerability of our network, rate limit counters, or API endpoints.
  • Using the E2EE mail or messaging services to propagate malicious scripts, ransomware, worms, or spam campaigns.
  • Violating standard intellectual property rights, exporting restricted materials, or hosting illegal materials.
  • Reverse-engineering or attempting to extract the source code of the proprietary components of the platform, except as allowed under local laws.
  • Attempting to disrupt the performance of our databases or WebSocket relays by simulating concurrent client traffic or executing denial-of-service (DDoS) procedures.

5. Intellectual Property

These Terms do not grant you any ownership over our trademarks, designs, logos, software infrastructure, database architectures, or proprietary source code. The software and design systems are the exclusive intellectual property of Foxcolab Technologies and its licensors.

User Content Ownership: You retain complete ownership and intellectual property rights over all communications, text, files, notes, email messages, and other data you submit, send, or store through the Service. By uploading content, you grant Foxcolab Technologies a limited, worldwide, royalty-free license to host, transmit, and store your content *solely* to the extent necessary to provide the Service to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOXCOLAB TECHNOLOGIES, ITS AFFILIATES, OFFICERS, DIRECTORS, OR DATA SUBCONTRACTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, LOSS OF ENCRYPTED PAYLOADS, BUSINESS INTERRUPTION, LOSS OF REVENUE, OR LOSS OF INTELLECTUAL PROPERTY KEYS), REGARDLESS OF THE LEGAL THEORY.

THE TOTAL LIABILITY OF FOXCOLAB TECHNOLOGIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO FOXCOLAB TECHNOLOGIES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7. Governing Law & Dispute Resolution

These Terms and your relationship with Foxcolab Technologies shall be governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Any disputes, controversies, or claims arising under or relating to these Terms shall be resolved exclusively through binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association (AAA), rather than in court.

Class Action Waiver: YOU AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE LAWSUIT AGAINST FOXCOLAB TECHNOLOGIES.
